What is a sole proprietorship?

A short answer first, then the five points that every misunderstanding about proprietorships comes from.

Definition. A sole proprietorship is an unincorporated one-owner business in which the proprietor and the firm are the same legal person. It is the simplest and cheapest way to trade lawfully in Lucknow, and it is how most Indian businesses start. Because no statute creates it, there is nothing to register the way a company is registered. What you complete instead is a stack of separate registrations.

No formation Act
There is no statute that creates a proprietorship and no registrar that records one. A private limited company has the Companies Act, 2013 and an LLP has the LLP Act, 2008. A proprietorship has neither.
No separate PAN
Your personal PAN is the firm's PAN for GST, banking, tax deducted at source and your annual return. There is nothing separate to apply for.
Unlimited liability
Business debts are your debts. A creditor can reach your home in Lucknow, your vehicle and your savings. There is no corporate veil.
No perpetual succession
The firm ends when the proprietor does. Heirs may continue the same trade, but they register afresh in their own name.

How is a proprietorship in Lucknow taxed?

Income tax is central, so the answer is the same in Lucknow as anywhere else in India. What changed is the Act: the Income-tax Act, 1961 was repealed with effect from 1 April 2026.

Step 1: the slab. Your firm has no separate tax identity, so its profit is added to your personal income and taxed under Section 202 at individual slab rates: nil up to ₹4 lakh, then 5%, 10%, 15%, 20% and 25% bands, and 30% above ₹24 lakh, plus 4% health and education cess. The rebate in Section 156 is worth up to ₹60,000 and makes total income up to ₹12 lakh effectively tax-free, with marginal relief just above that.

Step 2: presumptive, or books. Under Section 58 a small proprietor may declare a fixed percentage of turnover as income and keep no books at all. Sl. No. 1 covers general business at 6% of digital turnover or 8% of cash turnover. Sl. No. 3 covers specified professions at 50% of gross receipts. The higher turnover ceilings apply only where at least 95% of receipts arrive digitally, which for a business in Lucknow is largely a question of whether you take payment by transfer and UPI rather than cash.

Step 3: the audit trigger changed. Under the old Section 44AB, declaring a low profit did not by itself force an audit unless you had opted into presumptive taxation first. Under Section 63, declaring profit below the deemed presumptive percentage can trigger an audit even where you never opted in. Keep the payment mix digital and the presumptive percentage honest, and this never becomes your problem.

Banking

The current account, and the two-document rule

This is the step that most often stalls, in Lucknow as everywhere, and it stalls for a reason that is easy to plan around.

A proprietorship has no incorporation certificate, so a bank cannot verify it the way it verifies a company. The Reserve Bank's know-your-customer requirements therefore make the bank satisfy itself that the business genuinely exists, and with no single constitutive document to rely on, the settled practice is to take two independent documents evidencing the firm's activity, in addition to your own PAN and Aadhaar.

Any two of the following normally work at a bank in Lucknow. The first pair is the one banks accept fastest.

  • GST registration certificate, the usual second proof
  • Uttar Pradesh Shops and Establishments licence, where you have premises
  • FSSAI registration or licence, for anything food-related
  • Import Export Code, if you trade across a border

A savings account is not an option

Business receipts must run through a current account in the firm's trade name. Using a personal savings account for business turnover can lead the bank to restrict or reclassify it, leaves you without a clean record of turnover when you apply for credit in Lucknow, and makes a presumptive computation hard to defend if it is ever questioned. Open the current account before you raise your first invoice, not after.
