First auditor appointment must happen within 30 days of incorporation.
Dormant companies cannot skip annual compliance. Even a company with zero transactions must file AOC-4 (nil return), MGT-7, DIR-3 KYC, conduct board meetings, and hold an AGM. The only concession under Section 455 is that dormant companies need just 2 board meetings per year instead of 4. All filing deadlines and penalties remain identical.
Form MBP-1 is the disclosure of interest by directors filed under Section 184 of the Companies Act, 2013. Every director must disclose their interest in other entities at the first board meeting of each financial year or when any change occurs. This is an internal compliance record and is not filed with the ROC.
GST return filing is a separate statutory obligation under the CGST Act, 2017, not part of ROC compliance. A GST-registered Pvt Ltd company must file GSTR-1 and GSTR-3B monthly or quarterly plus GSTR-9 annual return by December 31. Late filing attracts ₹50 to ₹200 per day. DIR-3 KYC takes 3 to 5 days, AOC-4 and MGT-7 each take 5 to 7 days, and ITR-6 takes 7 to 10 days. Non-filing triggers cascading consequences: ₹100/day penalty on both company and directors for each unfiled form (AOC-4/MGT-7), potential DIN deactivation, director disqualification under Section 164(2) after 3 consecutive years, company marked for strike-off after 2 years of non-filing, and inability to access MCA portal for other filings.
Under Section 164(2) of the Companies Act, 2013, directors face disqualification if a company fails to file annual returns for 3 consecutive financial years. Disqualified directors are banned from being appointed as director in any company for 5 years. Over 2 lakh directors have been disqualified under this provision since its enforcement.
Late filing of MGT-7 attracts a penalty of ₹100 per day on both the company and every officer in default under Section 92(5). Delays of 6 months accumulate ₹18,000 per form (₹100 x 180 days). Additionally, continued non-filing triggers Section 164(2) director disqualification proceedings.
File all pending annual returns (AOC-4 and MGT-7) before completing 3 consecutive years of default. If your company is inactive, file nil returns with applicable late fees. Alternatively, apply for MCA amnesty schemes when available (CFSS-type schemes waive additional fees). Directors of struck-off companies must apply to NCLT for restoration before filing pending returns.
DIR-3 KYC filing involves: log into MCA V3 portal, select DIR-3 KYC form, enter DIN, verify personal details (PAN, Aadhaar, mobile, email), upload proof of address, attach director's DSC, pay nil fee (if on time), and submit. Existing DIN holders with no changes can use the web-based KYC option (no form or DSC needed). Deadline: September 30.
All annual compliance filings are done online. ROC forms (AOC-4, MGT-7, DIR-3 KYC, ADT-1) are filed on the MCA V3 portal. Income tax returns (ITR-6) are filed on www.incometax.gov.in. GST returns are filed on www.gst.gov.in. All forms require a valid Class 3 DSC for submission.

Statutory audit fees depend on company turnover, complexity, and the CA's practice. For small Pvt Ltd companies (turnover under ₹2 crore), audit fees typically range from ₹10,000 to ₹25,000. Larger companies pay ₹25,000 to ₹1 lakh or more. IncorpX's compliance packages coordinate with your auditor, but audit fees are separate from our ₹2,999 compliance fee.
IncorpX charges no hidden fees. Our quoted package price covers professional service fees for the listed filings. Pvt Ltd companies file AOC-4, MGT-7, DIR-3 KYC, and ADT-1 under the Companies Act, 2013. LLPs file Form 8 (Statement of Accounts) and Form 11 (Annual Return) under the LLP Act, 2008.
