These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Synerdyn Private Limited, governing your access to and use of our website (www.incorpx.io) and all services provided by IncorpX.
By accessing our website, creating an account, making a payment, or engaging our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, along with our Privacy Policy, Refund and Cancellation Policy, and Disclaimer, which are incorporated herein by reference.
This is not a government website. IncorpX (Synerdyn Private Limited) is a private business consultancy. We are not a government department and are not affiliated with, endorsed by, or representing any government authority. All registrations, licences, approvals, and certificates are issued solely by the respective government authorities, and you may apply for them directly on the official government portals. Please read our full Disclaimer.
1. Definitions
For the purposes of these Terms:
- "Services" refers to all document preparation, filing assistance, consultation, advisory, and startup support services offered by IncorpX through the website or otherwise.
- "Government Services" refers to registrations, licences, certificates, approvals, and filings issued or granted by any central, state, or local government authority in India.
- "Professional Fees" refers to charges levied by IncorpX for consultation, document preparation, and filing assistance. These are separate from any government or statutory fees.
- "Government Fees" refers to official fees, stamp duty, challan charges, and statutory levies payable to government authorities, which are collected and remitted on your behalf at actuals.
- "Platform" refers to the IncorpX website, its subdomains, mobile applications (if any), and any other digital interface operated by IncorpX.
- "Content" refers to all text, graphics, images, logos, icons, videos, software, and other materials available on the Platform.
2. Nature of Services
2.1 Assistance and Facilitation Model
IncorpX is NOT a government agency, regulatory body, or statutory authority, and this is not a government website. We are a private business consultancy and are not affiliated with, endorsed by, authorised by, or representing any government authority. We provide guidance, document preparation, filing assistance, and facilitation support related to business and compliance processes, acting only as a private facilitator between you and the relevant government authorities. All registrations, licences, approvals, and certificates are issued solely by the respective government authorities. You may also apply for these directly on the official government portals, and certain government services are available free of charge when done directly.
The charges displayed on our website represent IncorpX professional and facilitation fees for our assistance. They are not government fees. Any government or statutory fees are separate, charged at actuals, and payable to the relevant authority. Detailed information regarding the scope of services and applicable charges is available on the respective service pages of our website.
2.2 Scope of Services
IncorpX provides the following categories of services:
- Document Preparation and Filing Assistance: We assist with the preparation, review, and submission of applications, forms, and documents required for business registrations, licences, tax filings, compliance filings, and other government processes.
- Consultation and Advisory: We provide guidance on regulatory requirements, procedural steps, documentation requirements, and compliance obligations applicable to your business.
- Startup Support Services: We offer end-to-end assistance for new business formation, including entity selection guidance, name reservation support, incorporation document preparation, and post-incorporation compliance setup.
- Direct Services: We directly deliver certain services such as accounting, bookkeeping, payroll processing, HR support, virtual office services, website development, legal document drafting, and business consulting, where IncorpX is the direct service provider.
2.3 Government Service Disclaimer
For services involving government registrations, licences, certificates, or approvals:
- The final decision to grant, reject, or delay any registration, licence, certificate, or approval rests solely with the respective government authority.
- IncorpX does not guarantee approval, acceptance, or any specific outcome from any government authority.
- Processing timelines depend on the respective government authority and are beyond our control.
- Government policies, fees, forms, and procedures are subject to change without notice, and we shall not be liable for any changes that affect your application after submission.
- Any representation of timelines on our website is an estimate based on standard processing periods and does not constitute a guarantee.
2.4 Fee Structure
Our fee structure consists of two components for government-related services:
- IncorpX Professional Fees: Our charges for consultation, document preparation, filing assistance, and end-to-end support. These are listed on our service pages.
- Government/Statutory Fees: Official fees payable to government authorities (such as MCA fees, stamp duty, GSTN fees, IP India fees, etc.) are collected separately and remitted on your behalf at actuals. These fees are determined by the respective government authority and are subject to change.
Listed amounts on our website are IncorpX professional charges for end-to-end assistance. Government/statutory fees are charged separately at actuals.
2.5 No Government Affiliation, Endorsement, or Authorisation
IncorpX is an independent, privately owned business, and this is not a government website. We are not affiliated with, endorsed by, authorised by, appointed by, or empanelled by any government department or authority, and we do not act as an agent or representative of any government body. We do not have, and do not claim, any special access to or influence over any government authority. Any reference on our website to a government department, portal, statute, form, or scheme is for identification and informational purposes only and does not imply any association or endorsement. You may apply for any government registration, document, or service directly with the relevant authority through its official portal, and certain government services are available free of charge or at a lower cost when done directly.
IncorpX (Synerdyn Private Limited) is a DPIIT-recognised startup under the Startup India initiative. This recognition relates only to our own status as a startup. It does not authorise us to provide government services on the government's behalf and does not constitute any government endorsement of our services.
2.6 No Guarantee of Outcome or Timeline
We do not guarantee the approval, acceptance, registration, or timeline of any application made to a government authority. The decision to grant, reject, or delay any registration, licence, certificate, or approval, and the time taken, rest solely with the relevant authority. Our responsibility is limited to preparing and submitting complete and accurate documentation based on the information you provide, and to supporting you through the process.
2.7 We Are Not a Regulated Professional Firm
IncorpX is a private business consultancy. We are not a law firm, and we are not a registered agent or representative before any statutory authority. We do not provide regulated legal, tax, accounting, audit, or statutory compliance advice or representation. Where the law requires a filing or certification to be carried out by a licensed professional, it is performed by independent, duly qualified professionals. For specific legal, tax, or financial decisions, you should consult a suitably qualified professional.
3. Eligibility
By using our Services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
- If you are acting on behalf of a business entity, you have the authority to bind that entity to these Terms.
- You are not barred from receiving services under the laws of India or any other applicable jurisdiction.
- All information provided by you is true, accurate, current, and complete.
4. User Responsibilities and Obligations
As a user of our Services, you agree to:
- Provide accurate, current, complete, and truthful information as required for the services you engage us for. Any errors, omissions, or misrepresentations in the information provided shall be your sole responsibility.
- Cooperate with us in all matters relating to the services, respond to our communications within reasonable timeframes, and provide any necessary documents, information, or approvals in a timely manner.
- Ensure that all documents provided to us are genuine, legally valid, and obtained through lawful means.
- Not use our website or services for any unlawful, fraudulent, malicious, or unauthorized activities, including but not limited to money laundering, tax evasion, identity theft, or any activity that violates applicable laws.
- Maintain the confidentiality of your account credentials, login information, and OTPs, and notify us immediately of any unauthorized access or use of your account.
- Not attempt to gain unauthorized access to any part of our Platform, servers, databases, or connected networks.
- Not reproduce, duplicate, copy, sell, resell, or exploit any portion of our Services without express written permission.
- Comply with all applicable laws, regulations, and rules while using our Services.
Consequence of non-compliance: If you fail to provide accurate information or necessary documents within the requested timeframe, resulting in delays, rejections, penalties, or additional fees from government authorities, IncorpX shall not be held responsible, and no refund shall be applicable for the professional fees paid.
5. Payments
5.1 Payment Terms
- All fees for our services are listed on our website and are subject to change without prior notice. The fee applicable at the time of purchase shall govern your transaction.
- Payment must be made in full at the time of placing the service order, unless otherwise specified for specific service packages.
- All payments are processed through secure third-party payment gateways. IncorpX does not store your credit/debit card details on its servers.
- Prices listed are exclusive of applicable taxes (GST) unless explicitly stated otherwise.
5.2 Additional Charges
In certain cases, additional charges may arise due to:
- Changes in government fee structures after your order is placed.
- Additional filings or documentation required by government authorities beyond the standard scope.
- Resubmission fees due to rejection of applications caused by incorrect information provided by you.
- Expedited processing requests (where available).
You will be informed of any additional charges before they are applied, and your consent will be obtained prior to proceeding.
5.3 Refunds and Cancellation
Our detailed refund and cancellation policy is available at our Refund and Cancellation Policy page. Key points include:
- Government fees, statutory charges, and third-party payments, once remitted, are non-refundable.
- Professional fees for services already rendered or partially completed are non-refundable.
- Refund eligibility and amounts are determined based on the stage of service delivery at the time of cancellation.
6. Service Delivery and Timelines
- Service delivery timelines mentioned on our website are estimates and not guaranteed commitments. Actual timelines may vary based on government processing speeds, document completeness, and other factors beyond our control.
- IncorpX shall not be liable for delays caused by government authorities, incomplete or incorrect information provided by you, force majeure events, or any circumstances beyond our reasonable control.
- We will keep you informed of the progress of your service through email, phone, or WhatsApp communications.
- Our obligation is to prepare and submit your documents/applications correctly and completely to the relevant authority. Post-submission outcomes are determined by the respective government authority.
7. Intellectual Property Rights
- All Content on this Platform, including but not limited to text, graphics, logos, icons, images, audio/video clips, data compilations, software, and the overall design and arrangement of the Platform, is the exclusive property of Synerdyn Private Limited or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India and international treaties.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes in connection with the Services.
- You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent, except for temporary caching by your browser or printing single pages for personal reference.
- The IncorpX name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Synerdyn Private Limited. You must not use such marks without our prior written permission.
8. Confidentiality and Data Protection
- We recognize that you share sensitive personal and business information with us for the purpose of availing our Services. We are committed to maintaining the confidentiality of all such information.
- Your information will be used solely for the purpose of providing the requested Services and as described in our Privacy Policy.
- We implement reasonable technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction, in compliance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (as applicable).
- We will not sell, rent, or share your personal or business information with third parties except as necessary to provide the Services (e.g., filing with government portals), as required by law, or with your explicit consent.
- You acknowledge that certain information must be shared with government authorities as part of the registration/filing process, and you consent to such disclosure.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law:
- Our Services are provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free.
- We do not warrant or guarantee any specific outcome, result, approval, or timeline from any government authority.
- We do not warrant that information on the Platform is always accurate, complete, or current. Government rules, fees, and procedures change frequently, and while we endeavor to keep our content updated, there may be occasional discrepancies.
- Any reliance you place on information available on our Platform is at your own risk. We recommend verifying critical information with the relevant government authority or a qualified professional before making business decisions.
10. Limitation of Liability
To the fullest extent permitted by applicable law, including the Consumer Protection Act, 2019 and the Information Technology Act, 2000:
- IncorpX, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings, arising out of or in connection with the use of our Platform or Services.
- Our total aggregate liability for any claims arising out of or relating to these Terms or our Services shall not exceed the total professional fees actually paid by you to IncorpX for the specific service giving rise to the claim.
- We shall not be liable for any loss, damage, or penalty arising from: (a) rejection or delay of applications by government authorities; (b) changes in government policies, fees, or procedures; (c) inaccurate, incomplete, or fraudulent information provided by you; (d) your failure to respond to our communications or provide required documents within stipulated timelines; (e) unauthorized access to your account due to your failure to maintain credential security; (f) actions or inactions of third-party service providers or payment gateways.
11. Indemnification
You agree to indemnify, defend, and hold harmless IncorpX, Synerdyn Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:
- Your use of or access to the Platform or Services.
- Your violation of any provision of these Terms.
- Your violation of any applicable law, regulation, or third-party rights.
- Any inaccurate, misleading, or fraudulent information or documents provided by you.
- Any penalty, fine, or legal action imposed on IncorpX due to incorrect information furnished by you.
- Your failure to comply with any statutory or regulatory obligation applicable to you or your business.
12. Communication and Consent
- By providing your contact details (phone number, email, WhatsApp number), you expressly consent to receive communications from IncorpX regarding your service orders, updates, promotional offers, and other relevant information via phone calls, SMS, email, WhatsApp, and push notifications.
- You acknowledge that service-related communications (order confirmations, status updates, document requests, payment receipts) are transactional in nature and cannot be opted out of while an active service engagement exists.
- You may opt out of promotional communications at any time by contacting us or using the unsubscribe mechanism provided in such communications.
- All official communications from IncorpX will originate from our verified email addresses (@incorpx.io, @incorpx.co.in) or our registered phone numbers. Please verify the authenticity of any communication before sharing sensitive information.
13. Termination and Suspension
- We reserve the right to suspend or terminate your access to our Platform and Services, without prior notice or liability, if: (a) you breach any provision of these Terms; (b) we reasonably suspect fraudulent, illegal, or abusive activity; (c) you fail to make payments when due; (d) you provide false or misleading information; or (e) continued service provision would expose IncorpX to legal or regulatory risk.
- Upon termination, your right to use the Platform and Services will immediately cease. Any fees paid for services not yet commenced may be refundable in accordance with our Refund Policy. Fees for services already rendered or in progress shall not be refunded.
- Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive termination of these Terms.
14. Third-Party Links and Services
- Our Platform may contain links to third-party websites, government portals, payment gateways, or services that are not owned or controlled by IncorpX.
- We have no control over, and assume no responsibility for, the content, privacy policies, practices, availability, or accuracy of any third-party websites or services.
- Your interactions with third-party services are governed solely by the terms and policies of those third parties. We encourage you to review the terms of any third-party service before engaging with it.
- Inclusion of any third-party link does not imply endorsement, affiliation, or sponsorship by IncorpX.
15. Force Majeure
IncorpX shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, epidemics, pandemics, or acts of God.
- War, terrorism, civil unrest, or government actions.
- Strikes, lockouts, or labour disputes.
- Internet or telecommunications failures, cyberattacks, or system outages.
- Government portal downtime, system maintenance, or technical failures on government websites.
- Changes in law, regulation, or government policy.
- Any other event beyond our reasonable control.
In such events, our obligations shall be suspended for the duration of the force majeure event, and timelines shall be extended accordingly.
16. Dispute Resolution
16.1 Amicable Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute.
16.2 Arbitration
If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Chennai, Tamil Nadu, India. The language of arbitration shall be English. The arbitrator's award shall be final and binding on both parties.
16.3 Jurisdiction
Subject to the arbitration clause above, the courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any legal proceedings arising out of or in connection with these Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023, without regard to conflict of law principles.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19. Waiver
The failure of IncorpX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of IncorpX.
20. Entire Agreement
These Terms, together with the Privacy Policy, Refund and Cancellation Policy, and any service-specific terms presented at the time of purchase, constitute the entire agreement between you and IncorpX regarding the use of the Platform and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
21. Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. IncorpX may assign its rights and obligations under these Terms to any affiliate, successor, or acquirer without your consent, provided such assignment does not materially diminish your rights under these Terms.
22. Amendments
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes will be effective immediately upon posting on this page with an updated "Last Updated" date. Your continued use of the Platform or Services after any such changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically. For material changes that significantly affect your rights, we will endeavor to provide notice via email or a prominent notice on our Platform.
