What is Udyam Registration?

Udyam registration is the government's official MSME certification system administered by the Ministry of Micro, Small and Medium Enterprises through the Udyam portal at udyamregistration.gov.in. It replaced the older Udyog Aadhaar Memorandum (UAM) system on 1 July 2020 under the MSMED Act, 2006.

Step-by-Step: Fresh Udyam Registration for Existing Business

This process applies to existing businesses that have never held MSME or UAM registration. The complete process takes 15 to 30 minutes and costs nothing.

Step 1: Visit the Udyam Portal and Select Registration Type

Open the official portal at udyamregistration.gov.in in any web browser. On the homepage, click the option "For New Entrepreneurs who are not registered yet as MSME or those with EM-II". Do not use any third-party websites for Udyam registration, as the process is free on the official portal, and third-party sites often charge unnecessary fees.

Step 2: Enter Aadhaar Details and Verify with OTP

Enter the 12-digit Aadhaar number of the authorised person. For a Private Limited Company, this is an authorised director. For an LLP, it is a designated partner. For a partnership firm, it is the managing partner. Enter the name exactly as it appears on the Aadhaar card. Click "Validate and Generate OTP". Enter the 6-digit OTP received on the Aadhaar-linked mobile number within the 10-minute validity window.

Step 3: Validate PAN and Select Organisation Type

After Aadhaar verification, a PAN verification screen appears. Enter the PAN of the business entity (not your personal PAN, unless you are a sole proprietor). Select the type of organisation from the dropdown: Proprietorship, HUF, Partnership Firm, LLP, Private Limited Company, or others. The portal validates your PAN against the Income Tax database. If your previous year ITR is filed, the system prepares to auto-fetch investment and turnover data.

For Pvt Ltd companies and LLPs, enter the entity PAN (company PAN or LLP PAN), not the director's personal PAN. Using a personal PAN for a company registration creates incorrect data and the registration has to be redone.

Step 4: Fill Enterprise Information

Complete the registration form with these details: enterprise name (as per PAN records), registered office address including district, state, and PIN code, mobile number and email address, date of commencement of business, bank account details (account number, IFSC code, bank name), NIC code from the searchable dropdown, number of persons employed, and whether you have GSTIN. If you hold a GSTIN, enter it to allow the portal to auto-fetch turnover data from your GST returns.

The NIC code selection is one of the most important fields in the form. The National Industrial Classification code identifies your primary business activity and determines which government schemes and subsidies you are eligible for. The Udyam portal provides a searchable dropdown with descriptions for each code. For manufacturing businesses, select codes from Division 10 to 33. For service businesses, look under Division 45 to 96. Trading enterprises should select the appropriate wholesale (Division 45-47) or retail trade code. If your business has multiple activities, select the NIC code for the primary activity that generates the highest revenue. You can add secondary NIC codes later through the update option.

Step 5: Verify Investment and Turnover Classification

The portal auto-populates the investment in plant and machinery/equipment and the annual turnover based on your ITR and GST data. Review these figures carefully. The system applies the MSME classification criteria and shows whether your enterprise classifies as Micro, Small, or Medium. If the auto-populated figures are incorrect, you can provide updated self-declaration data with justification. Pay close attention to the turnover figure, as it includes exports in the calculation. If your enterprise has both domestic and export revenue, the portal considers the total turnover. For businesses in their first year of operations, the portal may not have ITR data available, and you need to enter self-declared figures that will be verified against your next ITR filing.

Step 6: Submit with Final OTP and Download Certificate

Check the self-declaration checkbox, click "Submit and Get Final OTP", enter the OTP, and submit the form. The Udyam Registration Number (URN) and e-certificate are generated instantly on screen. Step-by-Step: Migrating from UAM to Udyam

If your business already has a UAM or EM-II registration, you must migrate to the Udyam system to continue enjoying MSME benefits. The migration process preserves your registration history.

Step 1: Select the UAM Migration Option

On the Udyam portal homepage, click "For those already having registration as UAM through Assisted Filing or those already having EM-II". Enter your existing UAM number or EM-II number in the provided field.

Step 2: Verify Identity and Update Details

Enter your Aadhaar number and verify with OTP. The system retrieves your existing UAM data. Review and update enterprise details including address, NIC code, GSTIN, bank details, and employee count. The portal re-classifies your enterprise based on current investment and turnover data fetched from ITR and GST systems.

Step 3: Submit and Get New Udyam Number

Complete the final OTP verification and submit. The system generates a new permanent Udyam Registration Number (URN) that replaces your old UAM number. Your old UAM number becomes inactive. Use the new URN for all future bank applications, tender submissions, and government scheme applications. Businesses that held multiple UAM numbers for different locations or activities should migrate each UAM separately, as each generates a distinct Udyam number. After migration, verify that your new Udyam certificate reflects the correct MSME classification by cross-checking the investment and turnover figures shown on the certificate.

Udyam Registration for Different Business Types

The registration process varies slightly depending on your business structure. Here is what each entity type needs to know.

Private Limited Company

Use the company PAN (not the director's personal PAN) for entity verification. The Aadhaar of one authorised director is sufficient for OTP verification. The board should pass a resolution authorising the director to apply for Udyam registration on behalf of the company., though the portal does not currently require an uploaded resolution. Investment and turnover data is fetched from the company's ITR-6 filing.

Limited Liability Partnership (LLP)

Enter the LLP PAN for entity identification. Any designated partner's Aadhaar can be used for verification. The portal fetches data from the LLP's ITR-5 filing. LLPs with turnover below ₹40 lakh (goods) or ₹20 lakh (services) that are not GST-registered can still apply by providing self-declared turnover data.

Partnership Firm

Use the firm's PAN if available. If the partnership is unregistered and does not have a separate PAN, the managing partner's PAN is used. The managing partner's Aadhaar is required for OTP verification. Partnership firms benefit significantly from Udyam registration as it enables access to CGTMSE collateral-free loans that are otherwise difficult for unregistered entities to obtain.

Sole Proprietorship

Use the proprietor's personal PAN and Aadhaar. This is the simplest registration since there is no distinction between the proprietor and the enterprise. The ITR data from ITR-3 or ITR-4 is used for turnover verification. Sole proprietors running businesses from home can use their residential address as the enterprise address. If you file ITR-4 under the presumptive taxation scheme (Section 44AD or 44ADA), the portal uses the declared turnover from your ITR-4. Sole proprietors who have not filed ITR can still register by entering self-declared investment and turnover figures, though this data will be updated automatically once the next ITR is processed by the portal.

Since 1 July 2020, trading businesses (wholesale and retail) are eligible for Udyam registration alongside manufacturing and service enterprises. The same classification criteria apply to all three categories.

Udyam Registration for Export-Oriented Businesses

Export-oriented existing businesses benefit significantly from Udyam registration because exports are excluded from turnover calculation for MSME classification purposes. This means a business with ₹300 crore in total revenue may still qualify as a Medium enterprise if ₹200 crore comes from exports, since only the ₹100 crore domestic turnover counts toward the ₹250 crore MSME ceiling.

The Udyam portal requires you to enter your Import Export Code (IEC) during registration if you are an exporter. The system cross-references your IEC data to segregate domestic and export turnover. Multiple GSTIN Issue
